Churchill Capital Corp (the “Company”) announced today the pricing of its initial public offering of 60,000,000 units at $10.00 per unit. The units will be listed on the New York Stock Exchange (the “NYSE”) and trade under the ticker symbol “CCC.U”. Each unit consists of one share of the Company’s Class A common stock and one half of one warrant. Each whole warrant is exercisable to purchase one share of the Company’s Class A common stock at a price of $11.50 per share. Once the securities comprising the units begin separate trading, the Class A common stock and warrants are expected to be listed on the NYSE under the symbols “CCC” and “CCC WS,” respectively.
Churchill Capital Corp was formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. The Company intends to focus its search for a target business in the information services segment of the broader technology services and software industry. Citigroup Global Markets Inc. is acting as sole book-running manager for the offering. The Company has granted the underwriters a 45-day option to purchase up to 9,000,000 additional units at the initial public offering price to cover over-allotments, if any.
